Who Qualifies as an Accredited Investor?

•	Income Test:
     Earned over $200,000 individually (or $300,000 jointly with spouse) in each of the past two years, and reasonably expect the same for the current year.
•	Net Worth Test:
     Have a net worth over $1 million, excluding the value of their primary residence.
•	Professional License Test:
Hold certain professional financial licenses, like:
  o	Series 7 (General Securities Representative License)
  o	Series 65 (Investment Adviser Representative)
  o	Series 82 (Private Securities Offering Representative)

Entities (LLCs, Trusts, Companies):
•	Assets Test:
     An entity (LLC, trust, corporation) with assets over $5 million, not formed just to invest in your offering.
•	Owner Test:
     If every beneficial owner of the entity is an accredited investor.
